Terms of Service

Welcome
These Terms of Service ("Terms") are a legal agreement between you and Akai Labs LLC ("Akai Labs," "we," "us," or "our"), a California limited liability company located at 2108 N ST, STE N, Sacramento, CA 95816. These Terms govern your use of Sam, a conversational AI product operated by Akai Labs.
By accessing or using Sam, you agree to be bound by these Terms. If you do not agree, please do not use the service.
Age Requirement
You must be at least 18 years old to use Sam.
Sam is not intended for, and may not be used by, anyone under the age of 18. By using Sam, you represent and warrant that you are at least 18 years old. We do not knowingly collect personal information from anyone under 18. If we become aware that a user is under 18, we will immediately terminate their account and delete all associated data.
In compliance with the Children's Online Privacy Protection Act (COPPA) and other applicable child protection laws, this service is not directed at children under the age of 13 and explicitly prohibits use by anyone under 18. No part of Sam is designed to attract anyone under 18.
If you are a parent or guardian and believe your child has provided personal information to Sam, please contact us immediately at hello@iamsam.ai so we can take appropriate action.
What Sam Is (and Isn't)
Sam is a conversational AI designed to help you think through what's on your mind. Sam is a thinking partner, not a replacement for professional services.
Important Limitations
- •Not therapy or medical advice. Sam is not a licensed therapist, counselor, or medical professional. Do not use Sam as a substitute for professional mental health care.
- •Not for emergencies. If you are in crisis or having thoughts of self-harm, please contact a crisis helpline (988 Suicide & Crisis Lifeline) or emergency services (911) immediately.
- •AI limitations. Sam is an AI and can make mistakes, misunderstand context, or provide responses that don't fit your situation. You should not rely on Sam for factual, legal, financial, or medical information.
Your Account
You can use Sam without an account (free tier with limitations) or provide your email for the full experience.
- •You must be at least 18 years old to use Sam, with or without an account.
- •You are responsible for keeping your account credentials secure.
- •One account per person. Do not share accounts or create multiple accounts.
- •You are responsible for all activity that occurs under your account.
Subscriptions & Payments
Sam offers a subscription service for $12.99/month. Payments are processed by Stripe, Inc.
- •Billing: Subscriptions are billed monthly. Your subscription renews automatically unless you cancel.
- •Cancellation: You can cancel anytime through your account settings. You will retain access until the end of your current billing period.
- •Refunds: We generally do not offer refunds for partial months, but we will consider reasonable requests on a case-by-case basis.
- •Price changes: We may change prices with 30 days' notice. Existing subscribers keep their current rate until their next renewal after the notice period.
Acceptable Use
You agree not to:
- •Attempt to manipulate, reverse-engineer, or circumvent Sam's safety systems
- •Use Sam for any illegal or unauthorized purpose
- •Attempt to access other users' data or accounts
- •Create multiple accounts to circumvent usage limits or payment requirements
- •Use automated systems, bots, or scrapers to interact with Sam at scale
- •Misrepresent your age or identity
We reserve the right to suspend or terminate accounts that violate these guidelines, at our sole discretion and without prior notice.
Your Content
What you share in conversations with Sam remains yours. We do not claim ownership of your content. By using Sam, you grant us a limited license to process your content solely for the purpose of providing and improving the service. See our Privacy Policy for details on how we handle your data.
Intellectual Property
Sam, including its design, interface, branding, and underlying technology, is the property of Akai Labs LLC. You may not copy, modify, distribute, or create derivative works based on Sam without our prior written consent.
Disclaimer of Warranties
SAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SAM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT RESPONSES WILL BE ACCURATE OR HELPFUL, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC NEEDS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AKAI LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF SAM.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF SAM SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless Akai Labs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of Sam, your violation of these Terms, or your violation of any rights of a third party.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of such courts.
Dispute Resolution
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at hello@iamsam.ai. We will attempt to resolve the dispute within 30 days. If we cannot resolve the dispute informally, either party may pursue formal legal proceedings as described in the Governing Law section above.
Termination
We may terminate or suspend your access to Sam at any time, with or without cause, and with or without notice. Upon termination, your right to use Sam ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) shall survive.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via the email address associated with your account or through a notice within the service at least 30 days before the changes take effect. Your continued use of Sam after the effective date of revised Terms constitutes your acceptance of the changes.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
